EDNX
About EDNX
Founded in 2017 and based in Combermere, Shropshire, EDNX is a Cisco Premier Partner specialising in enterprise networking solutions for some of the UK’s most technically demanding and compliance-intensive environments. The business delivers LAN and campus networks, SD-WAN, SD-Access, enterprise wireless, secure IoT, and application-centric infrastructure across healthcare, pharmaceuticals, finance, and manufacturing, counting NHS Trusts and major global pharmaceutical companies among its clients. Under CEO David Ratcliffe, EDNX built a strong reputation for technical excellence and a client-first approach in sectors where network performance and security are non-negotiable.
The challenge
Having established EDNX as a trusted name in enterprise networking over seven years, the shareholders were ready for the next chapter, one that required a buyer with the scale, complementary capability, and strategic ambition to take the business further than it could go independently.
Identifying the right acquirer was critical. EDNX’s client base operates in highly regulated sectors where continuity, security credentials, and technical credibility matter as much as commercial fit. Any disruption to the existing team, contracts, or service levels would have been unacceptable. The shareholders needed a process that protected what made the business valuable, and legal advice sharp enough to ensure the deal reflected it.
The solution
K3 Law acted as legal adviser to the EDNX shareholders throughout the transaction, working alongside KBS Corporate’s Associate Director Jacob Lord, who led the corporate finance process. Senior Research Analyst Elliot Wilkes at KBS Corporate was credited with identifying and sourcing Viatel, Dublin-headquartered, Ireland’s largest secure network provider, and a fellow Cisco Premier Partner, as the right strategic acquirer.
The K3 Law team guided the shareholders through due diligence, warranties, and disclosure, navigating the cross-border complexity of a transaction involving an Irish buyer with its own advisory team, A&L Goodbody on legal and Grant Thornton on financial due diligence. Throughout, K3 Law’s focus was on protecting the shareholders’ position and keeping the deal moving to a clean completion.
The outcome
The sale completed on 1 September 2026. EDNX continues to operate under its existing brand and team, same contracts, same support, business as usual for clients, while gaining access to Viatel’s broader portfolio of connectivity, cybersecurity, cloud, and managed services, all delivered to ISO 27001, SOC 2, and PCI-DSS standards.
David Ratcliffe, CEO of EDNX, commented:
“Joining Viatel gives our customers access to broader capabilities while preserving the technical excellence and customer focus that have defined EDNX.”
For Viatel, the acquisition accelerates its UK expansion strategy, its second deal in as many months following the acquisition of Scottish cybersecurity specialist FullProxy in July 2026, and strengthens its Cisco practice ahead of growing demand for AI-ready, secure network infrastructure across the UK and Ireland.
