Network Power Connections
About Network Power Connections
Founded in 2019 and headquartered in Worcester, Network Power Connections (NPC) is a NERS-accredited Independent Connection Provider (ICP) delivering end-to-end electrical connection solutions nationwide. The business serves Distribution Network Operators (DNOs), Independent Distribution Network Operators (IDNOs), Bulk Network Operators (BNOs), and private network customers across HV/LV substation design, cable and overhead line works, and EV charging infrastructure.
The challenge
Having built NPC into a credible, nationally operating business in under five years, the shareholders were ready to transition, seeking a buyer who could provide the platform, resource, and reach to take the business to its next stage of growth.
The sale process required navigating the full complexity of a cross-border M&A transaction, with TSG being a French-headquartered European group with operations across Europe and Africa. For the shareholders, ensuring they had robust, commercially minded legal advice, from heads of terms through to final completion, was essential to achieving the right outcome.
The solution
K3 Law, led by Poppy Ball, acted as legal adviser to the shareholders of NPC throughout the transaction. Working alongside KBS Corporate, who led the corporate finance process under Associate Director George Barnes, K3 Law provided clear, practical legal guidance at every stage.
The team supported the shareholders through due diligence, warranties, and disclosure, translating the legal complexity of the deal into straightforward commercial decisions. Their role was not just to process paperwork, but to ensure the shareholders understood what was reasonable to accept, what to push back on, and where the genuine risks lay, giving them confidence at every stage of the process.
The outcome
The sale of NPC to TSG completed successfully in October 2026. NPC will continue to operate under its own brand as a TSG Company, working in close cooperation with TSG’s Birmingham-based business, Skerritt Electrical, to strengthen the group’s electrical infrastructure capabilities across the UK.
The deal marked the second transaction KBS Corporate completed with TSG within six months, following the earlier sale of multi-utility specialist Powertek, a reflection of TSG’s accelerating acquisition strategy in the UK energy and infrastructure market, and of NPC’s appeal as a well-run, growth-ready business.
K3 Law is regulated by the Solicitors Regulation Authority. The firm specialises in business sales, M&A, and investment deals for SME and mid-market businesses.
