K3 Law advises Enrogen on sale to Visa S.p.A
K3 Law has advised the shareholders of Enrogen on the sale of the business to Visa S.p.A., an Italian generator manufacturer backed by international private equity firm H.I.G. Capital.
Founded in 2005 by Gavin Wilkinson, with James Brown joining as an equal shareholder later that year, Enrogen has established itself as a leading designer, manufacturer, installer and maintainer of diesel generator systems. Operating from its headquarters in Pocklington, East Yorkshire, the business serves clients across critical sectors including data centres, construction and industrial infrastructure.
Over the last two decades, Enrogen has built a strong reputation for delivering complex power generation solutions, becoming a trusted partner to organisations requiring resilient and reliable backup power systems.
The acquisition by Visa S.p.A. represents a significant milestone in Enrogen’s growth journey and provides the business with access to an international platform, expanded resources and new opportunities for continued development in the UK and overseas markets.
Visa, which manufactures the ONIS VISA generator brand, is headquartered in Fontanelle, Italy and forms part of the H.I.G. Capital portfolio. The transaction strengthens Visa’s presence in the UK market while adding further technical expertise and capability to its international operations.
Commenting on the acquisition, Visa co-CEOs Lorenzo and Marco Barro said:
“The acquisition of Enrogen will allow us to further strengthen our presence in international markets, particularly in the UK, which is highly attractive in terms of size and growth, and to leverage new commercial channels for cross-selling opportunities.”
The transaction highlights continued international investment into UK engineering and manufacturing businesses, particularly those operating in specialist sectors with strong technical expertise, established customer relationships and attractive growth prospects.
K3 Law advised the shareholders throughout the transaction, providing legal support from negotiation through to completion and helping the founders achieve a successful outcome as the business embarks on its next stage of growth.
