K3 Law advises shareholders of Orion Medical Supplies on sale to Femcare

K3 Law acted as legal adviser to the shareholders of Orion Medical Supplies on the sale of the business to Femcare Ltd, a wholly-owned UK subsidiary of Utah Medical Products, Inc. (UTMD), a Nasdaq-listed medical devices business headquartered in Midvale, Utah. The deal completed on 31 August 2026.

About Orion Medical Supplies

Incorporated in 2012 and based in Bicester, Oxfordshire, Orion Medical Supplies is a niche assembler and distributor of harm reduction medical devices. Its products are designed to reduce the spread of blood-borne infections, minimise harmful drug-related litter, and prevent overdose injuries and deaths.

The business serves a broad customer base including charities, NHS England, Public Health Wales, Public Health Scotland, local councils, and healthcare customers across several European countries, establishing itself as a trusted supplier in a specialised and socially important market.

Supporting the shareholders through the transaction

Owners Shaun Hazlett and Salv Picillo decided to retire, prompting the decision to seek a buyer for the business. Corporate advisory was led by Jacob Lord, Associate Director at KBS Corporate, with legal advice provided by K3 Law throughout the transaction.

Joining Femcare and the UTMD group

The acquisition sees Orion become part of Femcare’s operations, with the business to be relocated to Femcare’s existing facilities in Romsey, Hampshire following a transition period. While Orion’s harm reduction products are not medically synergistic with Femcare’s existing gynaecology, surgery, and urology offering, the two businesses share highly compatible commercial and distribution channels — a key driver of the strategic rationale for the deal.

Kevin Cornwell, CEO of Utah Medical Products, said:

“This is the kind of acquisition that makes sense for UTMD: a stable, profitable and affordable business with well-accepted products in a specialised market niche with some growth potential, where distribution to customers can be leveraged.”

A successful outcome for Orion’s shareholders

The transaction delivers a well-matched acquirer for Orion, providing the distribution infrastructure and group resources to support the business’s next phase, while securing a positive outcome for the retiring shareholders.

Jacob Lord of KBS Corporate said:

“I’m delighted to conclude the sale of Orion to UTMD. It was a pleasure working with all parties throughout this transaction, in particular Shaun and Salv. From the outset, they were responsive, pragmatic and fully committed to achieving a successful outcome. Their openness, willingness to engage constructively with all parties and ability to deal with issues quickly and efficiently were instrumental in maintaining momentum and overcoming challenges as they arose. The transaction represents a fantastic synergistic acquisition for UTMD and will no doubt add further capabilities to an exciting group of companies undergoing rapid expansion.”
