K3 Law advises Safe & Sound on sale to learnd

K3 Law has advised the shareholders of Safe & Sound Control Systems on the sale of the business to learnd, a leading provider of building automation and digital building technologies.

Founded in 1991 and based in Canterbury, Safe & Sound delivers building management technologies and support services across the South East of England. The business provides in-house design, software services and post-completion support, alongside energy-efficient solutions including control systems, electrical installations, commissioning and engineering services.

Over more than three decades, Safe & Sound has established a strong reputation across a diverse client base, serving residential developments, educational institutions, corporate offices and manufacturing facilities.

The acquisition by learnd brings together two businesses with a shared focus on technology, sustainability and long-term customer value. The transaction provides Safe & Sound with access to additional resources, enhanced technological capabilities and a broader platform for future growth, while allowing the business to continue delivering the specialist service for which it is known.

A statement from learnd said:

“The acquisition adds further scale, depth and specialist expertise to learnd’s growing UK team, enhancing its ability to deliver integrated, future-ready building solutions nationwide.”

The statement continued:

“Safe & Sound will continue to operate as it does today, maintaining its strong focus on customers and project delivery, while benefiting from learnd’s investment, platform capabilities and long-term growth opportunities.”

The transaction reflects increasing investment within the building technology sector, where demand for smart, connected and energy-efficient infrastructure continues to drive strategic acquisitions and consolidation.

K3 Law advised the shareholders throughout the transaction, providing legal support from negotiation through to completion and helping secure an outcome that supports the future development of the business within a larger technology-focused group.
