Heads of Terms
This is the agreement, also referred to as a Letter of Intent or Offer Letter, between the parties which sets out the key terms of the acquisition / investment agreed in principle, prior to the legally binding contracts stage.
Legal documents / contracts
The negotiation process is not simply a matter of settling upon a price for a business sale. It requires definitive contracts to be agreed which confirm the rights and obligations of each party.
The legal contracts / documents stage is intense, which requires careful advice preparation and negotiation to ensure the client’s requirements and interests are satisfactorily dealt with.
Typically, sale and purchase agreement, disclosure letter, tax covenant, employment contracts, shareholders agreement, options, loan agreement, security documents and ancillary documents are involved.
Due diligence
After formalising confidentiality between the parties, legal due diligence commences where a detailed review and assessment of the business is undertaken to ensure there are no issues for the transaction to proceed.
Completion
Once the legal documents / contracts are finalised, the parties move towards signing and completion of the transaction, including movement of funds.
